Acceptance of Terms
By accessing or using AI Agents for Good (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Platform.
Description of Service
AI Agents for Good is an AI-powered nonprofit solutions provider that offers:
- Grants Platform: AI-powered grant research, writing, and tracking with an integrated knowledge base to help nonprofits find, manage, and win funding.
- Custom Builds: Bespoke agentic workflow solutions designed and built for your organization's unique needs, including white-labeled platforms, custom integrations, and tailored AI.
- AI Agents: Intelligent agents (Scout, Inspector, Keeper, Messenger) that assist with organization discovery, data validation, knowledge management, and communications.
Our AI features use machine learning models to assist with content generation, data analysis, and search. AI-generated content should be reviewed and edited by users before use.
Account Registration and Security
Eligibility
You must be at least 18 years old to use the Platform. By creating an account, you represent that you meet this requirement and that the information you provide is accurate and complete.
Account Credentials
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.
Organization Accounts
Organization administrators have elevated permissions including the ability to invite members, manage data, and configure integrations. Administrators are responsible for managing access within their organization.
User Responsibilities
You agree to:
- Provide accurate and complete information when using the Platform.
- Comply with all applicable laws and regulations, including data protection laws (such as GDPR, CCPA) and nonprofit regulations.
- Obtain appropriate consent before uploading personal data of donors or other individuals.
- Use the Platform only for lawful nonprofit management purposes.
- Maintain appropriate backups of your data.
Prohibited Uses
You may not:
- Use the Platform for any illegal purpose or in violation of any laws.
- Upload content that is harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Attempt to gain unauthorized access to the Platform, other accounts, or our systems.
- Interfere with or disrupt the Platform or servers.
- Use the Platform to send spam or unsolicited communications.
- Reverse engineer, decompile, or attempt to extract source code from the Platform.
- Use automated means (bots, scrapers) to access the Platform without authorization.
- Resell or redistribute access to the Platform without permission.
Intellectual Property
Platform Ownership
The Platform, including its design, features, code, and documentation, is owned by AI Agents for Good and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
Your Content
You retain ownership of all data, documents, and content you upload to the Platform (“Your Content”). By uploading Your Content, you grant us a limited license to store, process, and display it as necessary to provide the Platform's services.
AI-Generated Content
Content generated by our AI features based on your inputs is provided to you for your use. You are responsible for reviewing, editing, and ensuring the appropriateness of AI-generated content before use.
Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for ensuring that your use of the Platform complies with applicable data protection laws. This includes obtaining appropriate consent from individuals whose data you upload and providing them with required notices.
Third-Party Integrations
The Platform may offer integrations with third-party services including cloud storage providers, email platforms, and AI providers. Your use of these integrations is subject to the respective third party's terms of service and privacy policies.
We are not responsible for the availability, accuracy, or practices of third-party services. Connecting an integration authorizes us to access and process data as permitted by your authorization.
AI-Generated Content Disclaimer
Our Platform uses artificial intelligence to assist with grant writing, communications drafting, and other tasks. AI-generated content is provided as a starting point and may contain errors, inaccuracies, or inappropriate suggestions.
You are solely responsible for reviewing and editing all AI-generated content before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any purpose.
Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Platform. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any features of the Platform at any time. We will provide reasonable notice of material changes that may affect your use.
Termination
Termination by You
You may stop using the Platform at any time. Organization administrators can request deletion of their organization account by contacting us. We recommend exporting your data before deletion.
Termination by Us
We may suspend or terminate your access to the Platform if you violate these Terms, engage in prohibited conduct, or if we believe your use poses a risk to the Platform or other users. We will provide notice when feasible.
Effect of Termination
Upon termination, your right to use the Platform ceases. We may delete your data in accordance with our data retention policies and Privacy Policy. Some provisions of these Terms (including limitations of liability and dispute resolution) survive termination.
Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Platform will be error-free, secure, or uninterrupted. We do not warrant the accuracy or reliability of any content, including AI-generated content.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTS FOR GOOD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, data, or goodwill, arising from your use of the Platform.
Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify and hold harmless AI Agents for Good, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Platform.
- Your Content or data you upload.
- Your violation of these Terms.
- Your violation of any third-party rights.
Dispute Resolution
Informal Resolution
Before initiating formal proceedings, you agree to contact us to attempt informal resolution of any dispute. We will work in good faith to resolve issues within 30 days.
Binding Arbitration
If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with applicable arbitration rules. The arbitration shall be conducted in English.
Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitration.
Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought in the courts located in San Francisco County, California.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the “Last updated” date. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.
If you do not agree to updated Terms, you must stop using the Platform.
General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI Agents for Good regarding the Platform.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
